Terms of Service

The rules and agreements governing your use of the MedBid platform. Please read carefully.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MedBid Inc. ("MedBid," "we," "our," or "us"). By accessing or using medbid.ai or any related service (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using MedBid on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

MedBid is a reverse-bid healthcare marketplace. Patients post requests describing the medical or wellness service they need. Verified providers submit competitive bids. Patients review bids and choose whether to accept one. MedBid facilitates this matching process but is not a party to the ultimate service agreement between patient and provider.

MedBid does not employ healthcare providers, does not provide healthcare services, and does not guarantee that any specific bid will be available for any given request.

3. Not Medical Advice

MedBid is not a healthcare provider. Nothing on this Platform constitutes medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for medical decisions. Never delay seeking medical attention because of information you read on MedBid. In an emergency, call 911.

MedBid does not endorse any provider or guarantee the quality of care provided by any provider found through the Platform. Provider credentials are verified at the time of registration; MedBid does not continuously monitor provider licensure status.

4. Eligibility

You must be at least 18 years of age to use MedBid. By using the Platform, you represent that you are 18 or older. If you are submitting a request on behalf of a minor in your care, you represent that you are the minor's parent or legal guardian and have the authority to do so.

MedBid is currently available to users in the United States only.

5. Accounts and Registration

Some features of MedBid may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@medbid.ai if you suspect unauthorized access.

MedBid reserves the right to suspend or terminate accounts that violate these Terms or that have been inactive for extended periods.

6. Patient Terms

Posting Requests

When you post a service request, you agree to provide accurate information about the care you seek. Submitting false or misleading requests โ€” including misrepresenting your condition, location, or intent โ€” is a violation of these Terms and may result in account suspension.

Reviewing and Accepting Bids

You are under no obligation to accept any bid. When you choose to accept a bid and proceed with a provider, you enter into a direct agreement with that provider. MedBid is not a party to that agreement.

Payment

Payment for services is made directly to the provider. MedBid does not collect payment on behalf of providers (except where explicitly noted for specific transaction features). The price in an accepted bid is the price you pay โ€” no additional MedBid fees are charged to patients.

No Guarantee of Bids

MedBid does not guarantee that any request will receive bids. The availability of bids depends on provider participation in your geographic area and for your requested service.

7. Provider Terms

Eligibility and Credentialing

To join MedBid as a provider, you must be licensed and in good standing to provide the services you offer in the jurisdiction(s) where you practice. By registering, you represent that your credentials are accurate and current. You agree to notify MedBid promptly of any change in your licensure status.

Bidding

Bids submitted on MedBid must reflect prices you are genuinely willing to honor. Submitting bids you do not intend to fulfill, or bids that include hidden fees not disclosed at the time of bidding, is prohibited.

Patient Relationship

Once a patient accepts your bid, you assume full professional and legal responsibility for the care you provide. You agree to comply with all applicable laws, regulations, and professional standards, including HIPAA.

Transaction Fee

Providers pay MedBid a transaction fee of 5โ€“8% of the accepted bid amount. The exact fee is disclosed during provider registration and on your provider dashboard. This fee is charged only when you win a bid and the patient proceeds.

8. Fees and Payments

Posting a request is always free for patients. Patients pay no subscription or transaction fees to MedBid.

Providers pay a transaction fee on accepted bids as described in Section 7. Provider fee schedules may change with 30 days' written notice to registered providers.

Employer and B2B accounts are subject to separate pricing agreements.

9. Prohibited Conduct

You agree not to:

Violations may result in immediate account termination and, where appropriate, referral to law enforcement or licensing authorities.

10. Intellectual Property

All content on the Platform โ€” including the MedBid name, logo, design, text, data, and software โ€” is owned by MedBid Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

By submitting content to the Platform (such as request descriptions or provider profiles), you grant MedBid a non-exclusive, royalty-free license to use that content to operate and improve the Platform.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MEDBID DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MEDBID DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. MEDBID DOES NOT ENDORSE OR GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF SERVICES OFFERED BY PROVIDERS.

Price benchmarks displayed on MedBid (including CMS median charges and FAIR Health estimates) are provided for informational purposes only. Actual costs may vary. MedBid is not affiliated with CMS, FAIR Health, or PatientRightsAdvocate.org.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDBID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL MEDBID'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MEDBID IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow limitations on implied warranties or damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless MedBid and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any care or service you provide or receive through the Platform.

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.

Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@medbid.ai and attempt to resolve the dispute informally for at least 30 days.

Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration shall take place in Santa Clara County, California. The arbitrator's decision shall be final and binding. Class action arbitrations are not permitted.

Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. Nothing in this section prevents you from reporting concerns to applicable regulatory authorities.

15. Termination

MedBid may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting support@medbid.ai.

Upon termination, your right to use the Platform ceases. Sections that by their nature should survive termination (including Sections 11โ€“14) will survive.

16. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Platform at least 14 days before the change takes effect. Your continued use of MedBid after changes take effect constitutes acceptance of the updated Terms.
